General Meeting

The General Meeting’s authority and operations are primarily grounded in the Swedish Companies Act and the Articles of Association adopted by the Annual General Meeting.

Prisma Properties’ general meeting

The company’s ordinary general meeting (the annual general meeting), which is held during the first half of the year following the close of every financial year, elects the company’s board of directors and auditor, who will be proposed to the annual general meeting 2025 by a nomination committee, appointed in accordance with the instruction adopted by the annual general meeting 2024. The company may also convene extraordinary general meetings.

The general meeting resolves on the appropriation of profits, the adoption of the annual report, the fees to the company’s board of directors and auditor, and, where applicable, on guidelines for remuneration to senior executives and changes to the articles of association, as well as other matters of importance referred to the general meeting.

The Swedish Companies Act and the articles of association, as adopted by the general meeting, serve as the foundation of the competence and activities of the general meeting. The notice to attend the general meeting is issued by publishing in the Swedish Official Gazette (Sw. Post- och Inrikes Tidningar) and on the company’s website. Information on the issuance of the notice is published in Svenska Dagbladet. The company must announce the time and location where the annual general meeting is to be held no later than in conjunction with the interim report for the third quarter. The notice to attend the annual general meeting, as well as an extraordinary general meeting at which the matter of amendment to the articles of association is to be addressed, shall at the earliest be issued six weeks, and at the latest four weeks, prior to the general meeting. Notices of other extraordinary general meetings shall at the earliest be issued six weeks, and not later than three weeks prior to the general meeting.

Right to attend the general meeting

In order to participate in general meetings, shareholders must register their attendance with the company at the latest on the date indicated in the notice to attend the meeting. Shareholders who are unable to attend the meeting in person can be represented by a proxy. In conjunction with the announcement of the notice to attend the general meeting, information on the format and time of the meeting as well as instructions for registration is to be provided.

Shareholder initiatives

A shareholder who wishes to have a matter addressed at a general meeting must submit a written request to the board of directors. The request must be received by Prisma Properties at least seven weeks prior to the general meeting, or well enough in advance for the matter to be included in the notice to attend the general meeting.

As regards to proposals for decisions on matters that have already been included in the agenda of the meeting, and where it is not required by law that a proposal must be presented at a certain time in advance, shareholders have the right to present such proposals during the period up until the time that the general meeting is held (including during the general meeting).

The agenda for the general meeting indicates which matters that are subject to a resolution by the general meeting, and which matters that are points of information. Matters on the agenda that require a resolution by the general meeting are subject to a binding vote to which the shareholders vote in favour or against a matter, or abstain from voting. Furthermore, pursuant to Chapter 7, Section 32 of the Swedish Companies Act, all shareholders at a general meetings have a right to ask questions to the board of directors and CEO regarding matters on the agenda and on the company’s relationship to other group companies, and to ask questions regarding the financial position of the company and of the group at annual general meetings.
